Terms and Conditions: Hot Coffee Media

Welcome to Hot Coffee Media. These Terms and Conditions (“Terms”) govern the relationship between Hot Coffee Media (collectively referred to as “the Company”, “we”, “us”, or “our”) and the person or entity purchasing services (“the Client”, “you”).

By engaging our services, you agree to be bound by these Terms.

1. Services Provided

Hot Coffee Media provides digital marketing, SEO, website design, technical support, and related services. The specific scope of work for any project will be outlined in a separate Quote, Proposal, or Service Level Agreement (SLA) or Statement of Work.

2. Fees and Payment

Project-Based Work: A non-refundable deposit of 50% is required before work commences. The balance is due upon project completion and prior to “go-live.”

Monthly Retainer Billing: Retainer services (including SEO and Support) are billed in advance for the upcoming month.

Invoicing: Invoices are issued on the 20th of each month.
Due Date: Payment must be cleared by the 25th of the month to ensure uninterrupted service for the following month.
Late Payments: We reserve the right to suspend services, including SEO management and website hosting/technical support, if accounts are not settled by the due date.

3. Client Obligations

To ensure the success of your project, the Client agrees to:

Provide all necessary access (FTP, CMS, Google Analytics, etc.) in a timely manner.
Supply content, images, and branding assets required for the project.
Review and provide feedback on deliverables within 5 business days.

4. Intellectual Property

Client Content: You retain all rights to the data and content you provide to us.
Deliverables: Upon full payment of all fees, ownership of the final website or creative assets will transfer to the Client.
Our Tools: We retain ownership of any proprietary processes, pre-existing code, or internal tools used to perform the services.

5. SEO and Performance Disclaimer

We do not guarantee a #1 position on Google or any specific search engine.
We are not responsible for fluctuations in rankings caused by search engine algorithm updates or the actions of third parties.

6. Website Maintenance and Security

We strive for 99.9% uptime; however, we are not liable for hosting outages caused by third-party providers.
While we implement security best practices, the Company cannot be held liable for third-party hacks, malware, or data breaches, though we will assist in recovery at our standard hourly rate.

7. Term and Termination

Project-Based Work: Ends upon delivery of the final product and final payment.
Monthly Retainers: Either party may terminate the agreement with 30 days written notice.
Immediate Termination: We reserve the right to terminate the agreement immediately if the Client breaches these terms or engages in unethical business practices.

8. Limitation of Liability

To the maximum extent permitted by South African law, Hot Coffee Media shall not be liable for any indirect, incidental, or consequential damages arising out of the use of our services. Our total liability is limited to the amount paid by the Client for the specific service in question.

9. Confidentiality and POPIA

All client data is handled in accordance with the Protection of Personal Information Act (POPIA). We will not share your confidential business information with third parties without your express consent.

10. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the courts in Cape Town.
